Froriep advised Hesira Group Limited, a pan-European dental clinics operator established by funds managed by Oaktree Capital Management, L.P. on the Swiss leg of a multi-jurisdictional transaction involving the sale of, amongst others, Adent Cliniques Dentaires Groupe SA and its subsidiaries to funds advised by Nordic Capital.

Adent group is a dental chain with 22 large clinics, operated by five legal entities in Switzerland, and the only Swiss dental care provider operating across the French and German speaking regions of the country.

Froriep’s work included carrying out a vendor due diligence on Adent group, as well as drafting and negotiating the Swiss law transaction documents and closing items for both the sale of Adent shares and the repayment of the existing credit facilities and the release of the existing collateral with effect from the closing of the transaction, which took place in April 2018.
