Shareholder exit/liquidity options for start-ups and family businesses

This event aims to make the audience understand shareholder exit/liquidity options from two perspectives, at the opposite ends of the corporate lifecycle spectrum: a start-up firm and a traditional family business.

Within the M&A space, we will be covering options such as MBO, MBI, participation or take over by physical succession, merger with/selling to another company, liquidation.

Going into the listed space, we will then look at what could happen if the respective companies rather chose the route of staying private and listing on a liquidity platform (traditional OTC or new-tech), or listing on an actual stock exchange (IPO or introduction/technical listing).

The discussions will start with possible options and move into real cases, with the appropriate additional twists and turns.

Family business

Here we will concentrate on the assessment of feasible options particularly in succession planning situations, highlighting preconditions, advantages, disadvantages and the expertise that is required in each case. We will also be looking at the relevant stakeholders and at how the family situation could be impacted.

Start-up

We will be discussing about the different exit options, timing of exit, and the implication of the different cap table structures on the choice of exit strategies. We will also have a look at typical clauses in share purchase agreements and analyse them from a seller’s perspective.
