Our capital markets team together with our DLT/Blockchain team has been involved in the first cased of structuring and issuing security tokens with equity character for Swiss issuers.

In the context of our DLT/Blockchain practice we have been at the forefront of tokenising debt instruments, convertible debt instruments and setting up crypto-based structured products.
The securities laws have seen large changes with the entering into force of FINMIA, FINSA and FINIA requiring the issuers and financial market intermediaries to revisit their compliance. At the same time the enforcement of stock exchange regulations and securities laws by the Swiss Financial Market Supervisory Authority FINMA has increased over the last years significantly. We can support in all matters relating to securities laws and regulations, such as advising on the compliance of capital market events, share capital increases and tender offers with the relevant stock exchange regulations and securities laws as well as the duties towards shareholders resulting from corporate law. Our team also provides support to clients in corporate governance obligations resulting from being a public company, including the duties regarding executive compensation and subsequent reporting obligations, as well as adherence to obligations for the maintenance of the listing, such as disclosure obligations, publication of management transactions and ad hoc publicity requirements as well as the general market rules relating to insider trading and market abuse.
