The Froriep real estate team has the expertise to cover all legal aspects of a single or complex real estate transaction, large construction project as well as the management and development of industrial facilities. We focus on niches that are unique for a business law firm, allowing us to advise our clients in highly specialised and complex issues of public and private construction law.

  • We assist our clients in all phases of project development, covering public law aspects (procurement, zoning and planning procedure, environment law), financing (including re-financing and securitisation involving real estate companies and portfolios, structuring of real estate funds) and preparation of the respective contractual documentation.
  • We provide legal and tax advice with respect to acquisition, management and sale of real estate property (in particular drafting and negotiating of lease, ground lease, purchase, sale and lease back, mortgage agreements and due diligence audit), as well as legal advice with respect to regulatory requirements (Lex Koller, Lex Weber, tax issues, legislation on secondary homes).
  • Our team has broad expertise and represents clients both in public law and contractual disputes, in particular in connection with tenancy, regulatory and construction matters, both in state courts and arbitration proceedings.

Real Estate Investments

We advise on the structuring of real estate investments, be it through real estate investment companies or real estate investment funds as well as in club deals. In the context of asset management by banks and larger pension funds unlisted and unregulated investment vehicles may be set up. In relation to products for the retail market a focus of our practice is on the incorporation and listing of real estate investment companies and on the authorisation of fund managers and real estate funds. We have a strong focus on the setting up of such structures, including the creation of the documents required for the investors from shareholder agreements in club deals to prospectuses in the case of listed companies. Our team advises on the listing of investment companies on Swiss stock exchanges or the obtaining of FINMA licenses for fund management companies and real estate funds.

We continue to advise investment vehicles through their investment cycle. This includes capital markets law, corporate law and financial market regulations. Regular topics are also the regulatory limitations on the investment by foreigners into Swiss real estate, the so-called Lex Koller and advice on environmental law issues.

Construction Contracts

Our clients include industrial companies (in the oil, manufacture, transport, chemical, pharmaceutical and construction sectors) as well as real estate companies, developers and individuals.

We are particularly experienced in drafting and negotiating all kinds of construction contracts for large industrial companies as well as for private owners, including the drafting of contractual terms and indemnity clauses to protect against environmental liabilities and risks.

Zoning & Planning

We assist our clients in all phases of a project development, covering the zoning and planning procedure, including the environmental impact assessment where applicable, construction permit and procurement. Our work covers for instance the construction as well as the demolition of large industrial plants, the construction of a hazardous waste disposal facility as well as the transformation and development of a former industrial area.

We have a unique expertise in matters related to the protection against industrial hazards, in particular in coordinating statutory requirements imposed on operators of hazardous industries with the increasing densification of urban areas and the requirements of planning and zoning regulations.
